This is the licence file that ships inside every copy of ReplaRank, reproduced here so you can read it before you buy rather than after. Where this page and the Terms of Service differ, the Terms govern the sale.

ReplaRank is sold as source code, once. It is not open source, and it is not a subscription. There is no licence server, no phone-home and no expiry: if the licence file and the code are on your disk, it works, and it keeps working whatever happens to us.

There are two licences. Which one you need depends on whose websites you track — not on how many servers you run or how many people use it.

Single — $399, once

For tracking your own websites. One business, as many of its brands, websites and keywords as you like.

You may:

Run it for your own business, on as many of your own servers as you like. No per-seat price, no user limit, no keyword limit.
Change it. All of it. There is no part you are expected to leave alone.
Keep your changes private. Nothing here requires you to publish anything.
Give a contractor access while they work on it for you. They are covered by your licence for that work, and bound by these terms.
Keep running it forever. A licence does not expire.

You may not track websites belonging to other businesses who are paying you for it. That is the Agency licence.

Buy Single — $399

Agency — $999, once

Everything in Single, plus the part that matters to an agency:

Track your clients’ websites, as many clients as you like.
Host it for them and charge them for it — a login each, inside the brand model that is already there for exactly this.
Put your own name on it. Rebrand it completely; nothing requires our name to appear anywhere a client can see.
Send reports under your brand, including the shared links and the emails.

One agency, one licence. If you sell the business, the licence goes with it.

Neither licence lets you

Resell or give away the source code, changed or unchanged, as a product of its own. You bought the right to use it, not to become its distributor.
Publish it in a public repository, a template marketplace, a course download, or anywhere it can be obtained by people who have not bought a licence.
Remove the licence file from a copy you hold or pass to somebody working for you.

A hosted version that other businesses sign up to and pay you for directly — a competitor to this product, in other words — is not covered by either licence and needs a separate agreement. Hosting it for your own clients as part of your agency’s service is covered by Agency, and always was.

If you want to do something this section forbids, ask us. We are reasonable.

What is not covered

ReplaRank asks other companies for search data. Your account with DataForSEO, SerpApi or anyone else is between you and them: their terms, their prices, their limits. Nothing here grants you anything from them, and we never see or handle that spending — the keys live on your server and the money is yours.

Google Search Console data is likewise yours, read with credentials you create and can revoke without asking us.

No warranty

This software is provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and non-infringement. In no event shall the authors be liable for any claim, damages or other liability arising from the use of this software.

Search rankings are somebody else’s data about somebody else’s index. Positions can differ by the minute, by the place they are checked from, and by who is looking. Do not make a promise to a client that rests on a number in here being exact.

Support, updates and refunds

30 days of setup support from the day you buy, and 12 months of updates. After that, updates are $49 a year if you want them.

Your licence does not stop working if you do not renew. You stay on the version you have, forever. There is no licence server, no phone-home and nothing that could switch off — that is the point of buying source code rather than renting access.
